1. INTRODUCTION

Welcome and thank you for your interest in the Tencent WorkBuddy Enterprise (the "Service").

1.1 PLEASE READ THIS AGREEMENT CAREFULLY

This Tencent WorkBuddy Enterprise Service Agreement (the "Agreement") is a legally binding contract between you as an enterprise or corporate user (the "User", "you" or "your"), and the Tencent contracting entity ("Tencent", "we", "us" or "our") with whom you have separately entered into the Tencent Cloud Terms of Service or the Tencent Cloud Master Services Agreement (either to be hereinafter referred to as the "MSA"), regarding your use of the Service. In this Agreement, "User" and "Tencent" are each a "party" to the Agreement and, together, the "parties".

BY CLICKING “I ACCEPT” OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

If you are not eligible (see Section 1.2), or do not agree to the Agreement, then you do not have Tencent's permission to use the Service. YOUR USE OF THE SERVICE, AND TENCENT'S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY TENCENT AND BY YOU TO BE BOUND BY THIS AGREEMENT.

1.2 Eligibility

This Agreement only applies to corporate or enterprise Users, and does not apply to individual users. If you are an individual representing an organisation, company, or other entity, you may not enter into this Agreement on behalf of such entity unless you have the legal authority to bind the entity. By agreeing to this Agreement, you represent and warrant to us that:

By using the Service, you represent and warrant that you are eligible and possess the requisite legal capacity, qualifications and preconditions (if any) to use the Service.

1.3 Additional Applicable Terms

Apart from the terms of this Agreement, the use of the Service shall be subject to the MSA, the Tencent Cloud AI Service Terms available here (the "AI Service Terms"), and the service rules of the Service (the “Service Rules”). The Service Rules refer to the service descriptions, terms, rules, instructions, standards, etc. that relate to the content of the Service, service levels, technical specifications, operational documentation, billing standards, etc. of the Service, including but not limited to the Data Processing and Security Agreement available here, and the Privacy Policy, all of which are made available on the documentation page for the Service on Tencent's official website or other relevant pages as updated by Tencent from time to time. Please read and understand the Service Rules in advance and fully comply with the same in order to enjoy the uninterrupted use of the Service.

Where there is any conflict or inconsistency between these documents, the following order of precedence (in decreasing order) shall apply:

Matters not expressly addressed in this Agreement shall be governed by the relevant terms and conditions under the MSA. Capitalised terms used in this Agreement have the same meaning as the equivalent defined terms in the MSA, unless the context requires otherwise. For the avoidance of doubt, the Service constitutes one of the “Services” as defined under the MSA.

The country specified in your registration information may cause additional or different terms to apply, as follows. In addition to the above, additional or different terms may apply to your use based on applicable local laws. If you are accessing or using the Service from any jurisdiction covered in the Jurisdiction-specific Addendum at the end of this Agreement, the provisions set out for your jurisdiction in the Jurisdiction-specific Addendum will apply to your access or use of the Services, and prevail over the rest of this Agreement in case of any conflict or inconsistency.

1.4 Fees

Fees for the Services will be charged according to the price plans available here.

1.5 Changes or Modifications to this Agreement

We may need to change or update this Agreement from time to time to reflect changes in law or best practice or to deal with additional features which we introduce. We will use reasonable efforts to notify you in advance when material changes to this Agreement occur, such as by e-mail and/or by placing a prominent notice on our website. TO THE EXTENT THAT IT IS LEGALLY PERMITTED ACCORDING TO THE LAW IN YOUR APPLICABLE JURISDICTION, YOU WAIVE ANY RIGHT YOU MAY HAVE TO RECEIVE SPECIFIC NOTICE OF SUCH CHANGES OR MODIFICATIONS.

IF YOU DO NOT OBJECT TO THE CHANGES OR TERMINATE THE USE OF THE SERVICE PRIOR TO THEIR TAKING EFFECT, YOU ARE DEEMED TO HAVE ACCEPTED THE CHANGES. IF YOU OBJECT TO THE CHANGES, WE MAY TERMINATE YOUR USE OF THE SERVICE BY THE EFFECTIVE DATE OF THE CHANGE. WE WILL POINT TO THIS CONSEQUENCE OF YOUR INACTIVITY AND OUR RIGHT TO TERMINATE IN CASE OF YOUR OBJECTION IN THE NOTIFICATION OF THE CHANGE.

2. YOUR ACCOUNT

2.1 Account Registration

When you register for an account to access the Service ("Account"), you are responsible for safeguarding any and all Account details and access credentials, and you shall be responsible for any use of the Account or Service and all activities that occur under your Account, regardless of whether the activities are authorized or undertaken by you, your employees or a third party, and including in circumstances due to your failure to properly safeguard such Account details and access credentials. Except to the extent caused by our breach of this Agreement, Tencent and its Affiliates are not responsible for any unauthorized access to your Account. Any breach of this Agreement or any use of your Account by anyone will be treated as if the breach or use had been carried out by you, and will not relieve you of your obligations to us. We may deny you the right to create an Account.

2.2 Provision of Information

To the extent you provide any information to us when using the Service (e.g. account information), you agree that the information you provide to us is true, accurate and complete. If any change occurs to the information you provide to us, you shall promptly notify Tencent of such change.

2.3 Retrieve your Account

If you request to retrieve your Account when your access to the Service is denied due to the loss of account information or forgotten password, you are required to provide certain information and verification documentation according to the account retrieval process published by us officially, and to ensure that all such information and documentation is legitimate, truthful and valid. Your Account may not be retrieved if the information or documentation provided by you fails our security verification, and you are solely liable for any and all risks and losses arising therefrom.

2.4 Accounts Created via Third Party Platforms

We have no obligation to retrieve Accounts created via third party platform accounts or for such third party accounts. You acknowledge and agree that if your Account is not directly registered and created via the Service and instead you register for an Account through a third party platform account (e.g., through your Google or Apple account), then the applicable third party who owns the platform for the account through which you register (e.g. the relevant entity providing the Google or Apple account service) is responsible for that account and the information associated with that account, including the user ID or password used to create an Account. We have no obligation to retrieve such account or the information associated with that account, including the user ID or password used to create an Account or otherwise provide services in connection with such account or user ID. All the matters relating to such third party account and user ID shall be resolved by you and the applicable third party, provided that you shall inform us in the event that the account or the information, including the user ID or password used to create an Account, is stolen or otherwise compromised.

3. USE OF SERVICE

3.1 Service Modification

Tencent may discontinue or make any changes to the Service (or any portion thereof) at any time without incurring liability to you. Tencent may choose to, without limitation, discontinue, limit, restrict, change or remove the Service, any Service component, or availability of the Service (or any portion or component thereof). If Tencent discontinues or makes any changes to the Service that would materially decrease the functionality of those Service, Tencent will use commercially reasonable efforts to inform you of the change with reasonable advance notice before it goes into effect (e.g. via in-app pop up). Tencent may make the change, and will not be obligated to provide notice, if the discontinuation or change is necessary to address an emergency or threat to the security or integrity of the Service or Tencent, comply with or respond to litigation, address Intellectual Property Rights (defined below) concerns, or comply with the law or government requests. Tencent may provide periodic updates to the Service from time to time. Tencent may also make new features or functionality available from time to time through the Service and add new features to the Service from time to time, the use of which may be contingent upon your agreement to additional requirements.

3.2 Service Interruption

We reserve the right to interrupt the availability of the Service or any part thereof from time to time on a regularly scheduled basis or otherwise with or without prior notice, including without limitation under the following circumstances:

a) maintenance, updates and fixation of server, network, software and/or hardware which are necessary to provide the access of the Service to you; b) Force Majeure (defined below); c) in accordance with the order of governmental authorities or other in-charge authorities; and d) in order to comply with applicable laws.

You agree that we will not be liable for any interruption of the Service or any part thereof, delay or failure to perform resulting from the circumstances referred to in the preceding paragraph. We have the right at any time with or without reason to change and/or eliminate any aspect(s) of the Service (or any part thereof) as we see fit in our sole discretion.

3.3 Suspension or Termination of Service

The Service may be updated and your Account may be suspended or terminated in any of the following events:

a) Please note that regardless of any notice, we reserve the right to suspend your Account or to modify, adapt or update the Service, subject to this Agreement, at any time in our sole discretion for any reason (to the fullest extent possible under law). When making such changes we will duly consider your reasonable interests.

b) If your Account is suspected to be involved in illegal or improper activities (such as hacking, being hacked, etc.), you shall cooperate with (e.g., answer the questions truthfully) the relevant personnel designated by us to solve the issue. You further acknowledge and agree that, if we determine that your Account is involved in any improper or illegal acts, and to the extent permitted by applicable law, we have the right to suspend or terminate your access to the Account, take remedial measures and to inform the relevant authorities and act in conformity with any authority's directions or guidance. You also acknowledge and agree that we are not obligated to provide you with evidence relating to the suspected improper or illegal acts of your Account.

c) In the event that Tencent determines at its sole discretion that your use of the Service (including any of your Content (defined in Section 9.2)) could: (i) disrupt the Service; (ii) disrupt use of the Service by a third party; (iii) disrupt the Tencent network or servers used to provide the Service; (iv) allow unauthorized third party access to the Service; or (v) otherwise pose a security risk or threat or result in any legal or regulatory liability to Tencent, then Tencent or its affiliates may immediately and without prior notice to you, restrict or suspend your use of the Service, to the extent required to address such concern.

3.4 Monitoring and Circumvention

The Service includes functions to detect circumvention measures or unauthorized and malicious programs. Tencent may access, collect, monitor and/or remotely store information relating to hardware capacity, modifications related to Service, software, signatures, profiles or names of known unauthorized or malicious third party programs, files or processes that enable or facilitate circumvention of controls, unfair advantage or hacking of Service. If unauthorized or malicious programs are detected, the Service may also communicate to us the user's Account and user ID and information about the unauthorized or malicious program or its use. Details of the aforementioned measures, if any, are set out in the Privacy Policy.

3.5 Third Party Services, Output and Links

Our Service may incorporate third-party software, products, or services, ("Third Party Services"), and certain components of our Services, may generate output from those Third Party Services ("Third Party Output"). We are not responsible for the actions or omissions of the third party providers that provide the Third Party Services. Additionally, the Service may provide links or references to other websites or other platforms operated by third parties. These third party links, Third Party Services and Third Party Output (collectively, "Third Party Materials") are subject to their own terms which may differ from this Agreement, and Tencent is not and shall not be held responsible for the Third Party Materials. In accessing or using Third Party Materials, you do so at your own risk and you assume all responsibility in that regard. We make no representations or warranties regarding, and do not endorse, any Third Party Materials. We encourage you to review the terms of use of each Third Party Services and third party platform visited before using those services and platforms, respectively.

All legal rights and interests to the Service (including but not limited to models, analysis reports and other data contents, as well as pictures, charts, documents, text and interface design, etc.), and other data, materials or information related to the Service belong to Tencent, its Affiliates and third party licensors, including various documents related to the interface of the Service. For the avoidance of doubt, this Section does not affect the ownership rights in Input and Output as set out in Section 9.2.

You understand and agree that when using the Service, Tencent has the right to use technical means, such as implementing automated content filters, to review information generated as part of your use of the Service, including Content, for the purposes of detecting and removing any illegal or restricted content to comply with our legal obligations, including legal obligations outside your home jurisdiction. Any illegal or restricted content may be removed without notice or explanation.

8. YOUR PRIVACY

8.1 Privacy Policy

Under data protection laws, we are required to provide you with certain information about who we are, how we process your personal data and for what purposes and your rights in relation to your personal data and how to exercise them. This information is provided in our Privacy Policy. It is important that you read that information.

8.2 Transmission Security

Please be aware that Internet transmissions are never completely private or secure and that, despite our commercially reasonable efforts, any message or information you send using the Service may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Intellectual Property Rights

You agree that all Intellectual Property Rights in and to the Service, as between you and Tencent, are owned by Tencent, its Affiliates and/or Tencent's licensors, as the case may be. Except as expressly set forth in this Agreement and to the extent permissible under applicable law, Tencent does not grant to you any licenses or other rights, implied or otherwise, in or to Tencent's Intellectual Property Rights. The copyrights, patents and other intellectual property rights of the software on which Tencent relies in providing the Service are owned by Tencent and/or its Affiliates. Other legal rights related to or in the Service that are not mentioned in this Agreement are also reserved by Tencent. Tencent, its Affiliates and our licensors reserve all rights in connection with the Service and its content (other than your Content), including, without limitation, the exclusive right to create derivative works. In this Agreement, "Intellectual Property Rights" means all current and future worldwide rights under patent, copyright, trade secret, trademark, or moral rights laws, and other similar rights.

9.2 Input and Output Content

a) You may provide, transmit or upload content ("Input") and will receive output from the Service based on your Input ("Output" and together with Input, "Content"). Your use of the Service, including any Output, may also be subject to license and use restrictions set forth in terms and conditions of Third Party Materials, if applicable.

b) You represent and warrant that:

c) By using the Service and transmitting or uploading Content, you grant Tencent a worldwide, non-exclusive, royalty-free, fully sublicensable and transferable license to access, use, host, cache, store, reproduce, transfer, translate, localize, transmit, publicly display, publish, publicly perform, modify and adapt such Content as necessary for technical purposes to operate and provide the Service (including to distribute Output based on your Input). For clarity, Tencent's rights in such Content are solely as required to enable Tencent to operate and provide the Service (including to distribute Output based on your Input). We require this license to ensure that the actions we take in operating the Service are not considered legal violations (for example, copyright laws could prevent us from processing, storing, backing-up and distributing certain Content unless you give us these rights). You agree that these rights and licenses are royalty free, transferable, and sub-licensable, worldwide, irrevocable (for so long as Content is stored with us) and include a right for Tencent to make such Content available to, and pass these rights along to, service providers and others with whom we have contractual relationships as required for the operation and provision of the Service (e.g., cloud hosting providers), and to otherwise permit access to or disclose your Content to the extent specifically set forth in the Privacy Policy. For the avoidance of doubt, this licence does not limit or override any rights you may have under applicable data protection laws, including the right to request erasure of personal data.

d) As between you and Tencent and to the extent permitted by applicable law, you retain ownership rights in Input and own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output. You acknowledge and agree that Tencent is not the source of, does not verify or endorse, and is not responsible in any manner for Content, that you are solely responsible to retain adequate back-ups of Content, that you assume all risk associated with Content and the transmission or other use of the Content, and that you have sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of Content.

e) The Service includes functions that facilitate your writing and generation of software code, and may return codes and other Output to you based on your Input. You acknowledge that it is entirely within your discretion and responsibility to assess whether or not to use such Output, and how to use such Output. In the use of such Output, you should ensure that you have independent policies and mechanisms in place to review such Output, and to ensure that the Output is used in such a way that will not violate third party rights.

f) You acknowledge and agree that Tencent may preserve Content, and may also disclose Content, in accordance with the Privacy Policy, if required to do so by law or in the good faith belief that that such preservation or disclosure is reasonably necessary to, among other things:

g) Tencent will not use User Input (as defined in the AI Service Terms) or your Content to train AI Services (as defined in the AI Service Terms) or AI Models (as defined in the AI Service Terms) (“AI Training”), unless you grant your explicit opt-in consent (“AI Training Consent”). You acknowledge that that AI Services functionality may be limited without your AI Training Consent. In addition, while you may revoke your AI Training Consent, and once your revocation becomes effective Tencent will cease using your User Input or your Content for AI Training, however this does not invalidate or prejudice any AI Training carried out in reliance on your AI Training Consent before the revocation.

h) You acknowledge that Tencent reserves the right in its absolute discretion to delete, review, edit, filter or modify any Content for any reason and without notice to you, to the extent permitted by applicable law.

9.3 Tencent Logo

You shall not use Tencent's trademarks service marks, trade names, domain names, website names or other distinctive brand features of Tencent under any circumstances, including "Tencent" and "Tencent Cloud" etc. (hereinafter collectively referred to as "Tencent Logos"). THIS ALLOCATION IS REFLECTED IN THE FEES CHARGED BY TENCENT (IF ANY) TO YOU AND IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND TENCENT. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THIS AGREEMENT, AND EACH OF THESE PROVISIONS WILL APPLY EVEN IF THE LIMITED REMEDIES IN THIS AGREEMENT HAVE FAILED OF THEIR ESSENTIAL PURPOSE.

Any rights, obligations, causes of action or liabilities incurred or accrued prior to the termination of this Agreement will not be affected.

11.4 Termination by you

You may terminate your use of the Service by uninstalling the Service and deleting your Account.

12. REMEDIES

12.1 Remedies for Breach

12.3 Limitation of Tencent's Liability

Tencent shall not be responsible or held liable for any damages or losses, including but without limitation to the suspension of your business operations, deletion of data, etc., arising from the actions taken by Tencent hereunder due to your breach of this Agreement.

13. EXPORT CONTROL AND SANCTIONS

13.1 Compliance

14. GOVERNING LAW AND DISPUTE RESOLUTION

The provisions on governing law and dispute resolution under the MSA are expressly repeated here, and shall be incorporated by reference to this Agreement, mutatis mutandis.

15. FORCE MAJEURE

15.1 Definition

In this Agreement, "Force Majeure" refers to uncontrollable, unforeseeable and insurmountable events of one party, including but not limited to: natural disasters (earthquakes, floods, fires, etc.), acts of government, promulgation or change of laws, regulations or policies (including trade laws, sanctions, restrictive measures or regulations), strikes or unrest, military conflicts or paramilitary conflicts, terrorist activities, martial law, riots, large-scale outbreaks of epidemic infectious diseases, or any significant change of circumstances (including changes in applicable laws which would render provision of Service potentially illegal or different from that contemplated by the parties at time of the acceptance of this Agreement or first download, install, access, or use the Service), foreseeable or otherwise.

15.2 Consequences

If the performance of this Agreement is prevented, delayed, hindered or restricted, or Tencent breaches this Agreement due to an event of Force Majeure, in no case shall Tencent be liable for the breach of this Agreement, or be otherwise liable for any such failure or delay in the performance of such obligations. If the Force Majeure persist for more than 15 consecutive days, Tencent may terminate this Agreement, without assuming any liability, by immediate written notice to you.

16. MISCELLANEOUS

16.1 Notice

Any notice required or permitted to be given under this Agreement will be effective if it is in writing and sent by certified or registered mail, or insured courier, return receipt requested, to the appropriate party at the address set forth above (in the case of Tencent) and any address registered with us (in your case) and with the appropriate postage affixed. Either party may change its address for receipt of notice by notice to the other party in accordance with this Section. Notwithstanding the foregoing, any notices, communications, or disclosures sent electronically by Tencent through email, web announcements, site messages, mobile phone text messages or regular mail transmission or otherwise, shall be deemed a valid and binding notice required or permitted to be given under this Agreement and shall be deemed to have been delivered to you on the date of sending.

16.2 Assignment

Neither party may assign or otherwise transfer, by operation of law or otherwise, its rights or obligations under this Agreement without the prior written consent of the other party, except that Tencent may freely assign or otherwise transfer this Agreement without your consent: (i) in connection with a merger, acquisition or sale of all or substantially all of Tencent's assets; or (ii) to any affiliate or as part of a corporate reorganization. Upon such assignment or transfer taking effect, the successor or permitted assigns (as the case may be) shall assume assignor/transferor's liability and assignor/transferor is released from the same. Any attempted assignment or transfer in violation of the foregoing restriction will be void. Subject to the foregoing, this Agreement will be binding upon and inure to the benefit of the parties and their successors and permitted assigns.

16.3 Waiver and Severability

The waiver by either party of any breach of this Agreement does not waive any other breach. Neither party will be treated as having waived any rights by not exercising (or delaying the exercise of) any rights under this Agreement. If any part of this Agreement is unenforceable, the remaining portions of this Agreement will remain in full force and effect.

16.4 No Third-Party Beneficiaries

This Agreement is not intended to confer any benefits on any third party except to the extent that it expressly states that it does.

16.5 Entire Agreement

This Agreement (together with the MSA, the AI Service Terms and Service Rules) constitutes the whole legal agreement between you and us and govern your use of the Service and supersede and extinguish any prior drafts, agreements, undertakings, representations, warranties, promises, assurances and arrangements of any nature whatsoever, whether or not in writing.

16.6 Language

We may translate this Agreement into other languages. In the event of any inconsistency between this English language version and any other language version, this English language version shall prevail.

This Service incorporates open source components that are subject to the terms of the respective open source licenses. Details of such open source licenses and attributions are available here.

Jurisdiction-specific Addendum

European Union / European Economic Area

The following provisions will apply and govern if you access or use the Service from the European Union or the European Economic Area (the "EEA"), or if the output of the Service is used within the EEA. These provisions reflect Regulation (EU) 2024/1689 ("EU AI Act") and apply in addition to, and prevail in case of inconsistency with, the corresponding provisions of the Agreement.

  1. Nature of the Service and roles under the EU AI Act

Tencent is the "provider" of the AI system(s) comprised in the Service within the meaning of Article 3(2) of the EU AI Act. As an enterprise user deploying the Service in the course of your business, you are a "deployer" within the meaning of Article 3(4). Each party is responsible for its own compliance with the obligations imposed on it by the EU AI Act in the relevant role.

  2. AI literacy

Consistent with Article 4 of the EU AI Act, Tencent will take measures to ensure, to the best extent possible, a sufficient level of AI literacy among its staff operating the Service, and you shall ensure a sufficient level of AI literacy among your staff who deploy or use the Service.

  3. Transparency and disclosure (Article 50)

    (a) Tencent designs and operates the Service so that natural persons are informed, where applicable and technically feasible, that they are interacting with an AI system, in accordance with Article 50(1) of the EU AI Act.

    (b) Where the Service generates synthetic audio, image, video or text content, Tencent will mark the Output in a machine-readable format and detect it as artificially generated or manipulated, in accordance with Article 50(2) of the EU AI Act.

    (c) You must not remove, circumvent, obscure or otherwise interfere with any marking, watermark or labelling applied by Tencent to Output. Consistent with Section 6.4(i), you must not misrepresent Output as having been created by a human when it was generated by the Service.

    (d) Where you deploy Output that constitutes a deep fake or synthetic content, you are solely responsible for complying with the transparency obligations applicable to you as a deployer, including Article 50(4) of the EU AI Act.

  4. Prohibited practices (Article 5)

In addition to the restrictions in Section 6.4, you must not use the Service to deploy an AI system that engages in any practice prohibited by Article 5 of the EU AI Act, including (a) subliminal, manipulative or deceptive techniques that materially distort behaviour and cause or are likely to cause significant harm; (b) exploitation of vulnerabilities related to age, disability or a specific social or economic situation; (c) social scoring; (d) individual risk assessment or prediction of criminal offending based solely on profiling or personality traits; (e) untargeted scraping of facial images from the internet or CCTV to create or expand facial recognition databases; (f) emotion recognition in the workplace or in education institutions; or (g) biometric categorisation to infer sensitive characteristics.

  5. High-risk use

You acknowledge that the Service is not designed, intended or suitable for use as, or as a safety component of, an AI system classified as "high-risk" under Articles 6 and 7 of the EU AI Act, and nothing in this Agreement constitutes a representation that the Service satisfies the requirements of Chapter III of the EU AI Act. You must not deploy the Service in a manner that would render it high-risk unless you have independently ensured compliance with the obligations applicable to you as a deployer of a high-risk AI system (including under Article 26 of the EU AI Act).

  6. General-purpose AI and copyright

You are solely responsible for verifying, before use or deployment, whether Output (including software code) may infringe third-party copyright or the terms of any open-source or copyleft licence. Tencent makes no representation that Output is free from third-party intellectual property claims, and does not indemnify you in respect of such claims arising from your use or deployment of Output.

  7. Data protection

Nothing in this Agreement limits or excludes rights or remedies you may have under Regulation (EU) 2016/679 (GDPR) or applicable Member State data protection law. The parties' respective roles (controller/processor) and obligations in respect of personal data are set out in the Data Processing and Security Agreement and the Privacy Policy.

Japan

The following provisions will apply and govern if you access or use the Service from Japan.

  1. AI Promotion Act

Each of Tencent and you is an "AI business actor" within the meaning of the Act on Promotion of Research and Development and Utilization of Artificial Intelligence-Related Technologies (the "AI Promotion Act"). Each party will make reasonable efforts to ensure the appropriate development and use of AI in accordance with the AI Promotion Act and the AI Utilization Guidelines issued by the AI Strategic Headquarters, including by ensuring transparency and providing appropriate information regarding the use of AI.

  1. Transparency

Consistent with the AI Utilization Guidelines, you must not misrepresent Output as having been created by a human when it was generated by the Service (See Section 6.4(i)). Where you deploy Output, you are responsible for providing any transparency, labelling or disclosure appropriate to your particular use, having regard to the AI Utilization Guidelines.

  2. Intellectual property and code output

To the extent the Service generates software code as Output, you acknowledge that such code may resemble or be similar to publicly available source code or works protected under the Japanese Copyright Act (Act No. 48 of 1970, as amended), and that you are solely responsible for verifying whether such Output may infringe third-party copyright or the terms of any open-source or copyleft licence before using or deploying it. Tencent makes no representation that all Output is free from third-party intellectual property claims or licence obligations, and does not indemnify you in respect of such claims arising from your use or deployment of Output.

  3. Personal information

Processing of personal information in connection with the Service is subject to the Act on the Protection of Personal Information (APPI). The parties' respective obligations in respect of personal information are set out in the Privacy Policy and the Data Processing and Security Agreement.

Australia

The following provisions will apply and govern if you access or use the Service from Australia.

  1. Automated decision-making transparency (Privacy Act)

From 10 December 2026, entities bound by the Australian Privacy Principles must disclose in their privacy policy the types of personal information used in decisions that are made substantially by computer programs, where such decisions could reasonably be expected to significantly affect the rights or interests of individuals (APP 1.7 to 1.9). Each party is responsible for its own privacy policy disclosures under the Privacy Act 1988 (Cth). You are responsible for ensuring that your own privacy policy complies with APP 1.7 to 1.9 where your use of the Service involves such decisions.

  2. Misleading or deceptive conduct

You are responsible for ensuring that your use of the Service and of any Output does not constitute misleading or deceptive conduct, or false or misleading representations, in breach of the Australian Consumer Law or any other applicable law. Tencent does not warrant that Output is accurate, complete or suitable for reliance (see Section 10.2).

  3. Intellectual property and code output

To the extent the Service generates software code as Output, you acknowledge that such code may resemble, contain or be derived from software or materials subject to open-source or copyleft licences, and that you are solely responsible for verifying whether such Output may infringe third-party copyright or the terms of any applicable open-source or copyleft licence before using or deploying it. Tencent makes no representation that all Output is free from third-party intellectual property claims or licence obligations, and does not indemnify you in respect of such claims arising from your use or deployment of Output.

  4. Future legislation

Tencent may amend this Agreement to reflect changes in Australian law, including any Australian Standards for AI or equivalent legislation that may be enacted, in accordance with Section 1.5 of this Agreement.

New Zealand

The following provisions will apply and govern if you access or use the Service from New Zealand:

  1. Consumer Protection Laws

Nothing in this Agreement or the choice of governing law in Section 14 excludes, restricts, or modifies any rights or remedies you may have under the Consumer Guarantees Act 1993 (CGA) or the Fair Trading Act 1986 (FTA), to the extent those rights or remedies cannot be excluded, restricted, or modified by agreement.

Notwithstanding the above, if and to the extent you acquire Services in trade, for the purposes of section 5D of the FTA and section 43 of the CGA, both parties agree to the extent permitted by law that both parties are in trade, sections 9, 12A and 13 of the FTA and the provisions of the CGA do not apply in relation to this Agreement or the supply of the Services, and it is fair and reasonable that the parties are bound by this clause.

  1. Limitation of Liability

The limitations and exclusions of liability in Sections 10.1, 10.2, 10.3 and 10.5 do not apply to the extent they would:

    1. exclude or limit liability for a failure to comply with a guarantee under the CGA;

    2. exclude or limit liability for misleading or deceptive conduct or other liability arising under the FTA that cannot lawfully be excluded; or

    3. exclude, restrict, or modify any right or remedy that cannot lawfully be excluded, restricted, or modified under the CGA, the FTA, or any other applicable New Zealand law.

For the avoidance of doubt, the liability cap in Section 10.3(a) does not apply to liability that cannot lawfully be limited or excluded under New Zealand law.

  2. Indemnification

Your indemnification obligations under Section 10.4 do not apply to the extent that any claim, loss or liability:

    1. arises from, or is attributable to, Tencent's own breach of this Agreement, negligence, wilful misconduct or fraud; or

    2. arises from Tencent's failure to comply with any obligation that cannot lawfully be excluded, restricted or modified under the CGA, FTA or any other applicable New Zealand law.

  3. Open Source and Copyleft Licences

To the extent the Service generates software code as Output, you acknowledge that:

  1. the LLM used to provide AI Functions has been trained on publicly available data, which may include open-source software subject to open-source licences, including copyleft licences such as the GNU General Public License, the GNU Lesser General Public License or similar licences which may require you to: (a) make your source code available to recipients; (b) license your software under the same or a compatible open-source licence; and (c) provide attribution to the original authors (“Copyleft Licences”);

  2. software code as Output may resemble, contain or be derived from software or materials subject to Copyleft Licences or be similar to publicly available source code, and you are solely responsible for verifying whether such Output may infringe third-party copyrights or the terms of any applicable Copyleft Licences before using or deploying it;

  3. there is no broad commercial text and data mining exception in New Zealand clearly allowing AI training on copyright-protected works without permission; and

  4. Tencent makes no representation that all Output is free from third-party intellectual property claims or Copyleft Licences obligations, and does not indemnify you in respect of such claims arising from your use or deployment of code Output.

South Korea

The following provisions will apply and govern if you access or use the Service from South Korea:

  1. Changes or Modifications to This Agreement

Notwithstanding Section 1.5 of this Agreement, if Tencent intends to change or amend this Agreement, Tencent will specify the effective date and the grounds for the amendment and will post a notice to that effect, together with the then-current Agreement, on the main page of its website from no later than seven (7) days prior to the effective date until the day immediately preceding the effective date. However, where any such amendment is unfavorable to Users, Tencent will provide an individual notice with a grace period of at least thirty (30) days prior to the effective date. In such case, Tencent will clearly present the content of the Agreement before and after the amendment side by side, in a manner that is easy for consumers to understand.

If a User does not expressly indicate an objection within the notice period referred to in the preceding paragraph, the User will be deemed to have agreed to the amended Agreement. If a User does not agree to the application of the amended Agreement, the User may terminate this Agreement.

  1. Nature of the Service

You acknowledge that the Service enables artificial intelligence ("AI") functionalities and features ("AI Functions"), powered by third party large language models ("LLM"). The Service also enables your access to "AI Agents," which are systems, applications, workflows, or services that use AI Functions to perform autonomous or semi-autonomous actions, decisions, or operations, including but not limited to tool-calling, function execution, API orchestration, data retrieval/modification, transaction processing, or multi-step reasoning chains (whether single-agent or multi-agent systems).

BY ENABLING, ACCESSING, OR USING THE AI AGENT AND/OR AI FUNCTIONS THROUGH THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE, UNDERSTAND, AND ACCEPT THE INHERENT AND UNAVOIDABLE RISKS OF AI TECHNOLOGY, AND AGREE THAT YOU BEAR FULL RESPONSIBILITY FOR ALL CONSEQUENCES OF YOUR USE:

TENCENT BEARS NO RESPONSIBILITY FOR ANY LOSSES, LIABILITIES, OR DAMAGES ARISING FROM THE INHERENT AI RISKS AND THE NATURE AND LIMITATIONS OF THE SERVICE AS SET OUT IN THIS SECTION, REGARDLESS OF FORESEEABILITY. IF YOU DO NOT AGREE WITH THESE RISKS AND LIMITATIONS, YOU MUST NOT USE THE SERVICE.

  1. Service Modification and Interruption

Tencent continuously changes and improves the Service. Tencent may make changes to improve performance or security, to change features or configurations, to comply with applicable laws, and to prevent illegal activity or abuse of Tencent's systems. Tencent may also change or discontinue the Service, or any part thereof.

Tencent will provide advance notice of any material change to, or discontinuation of, the Service that adversely affects your use of the Service. However, such changes or discontinuation may be made without notice where (i) it is not reasonably practicable to provide notice, or (ii) such action is necessary to improve the security or compatibility of the Service, to prevent abuse, or to comply with legal requirements.

  1. Governing Law and Dispute Resolution

Any lawsuit relating to a dispute arising between the Tencent website and a User will be subject to the exclusive jurisdiction of the district court having jurisdiction over the User's address at the time the lawsuit is filed, or, if the User has no such address, over the User's place of residence. However, if the User's address or place of residence is unclear at the time the lawsuit is filed, or if the User resides overseas, the lawsuit will be filed with the court having jurisdiction under the Civil Procedure Act of Korea.

The laws of the Republic of Korea will apply to the interpretation of this Agreement and to any dispute arising between the Tencent website and a User.

Socialist Republic of Vietnam (“Vietnam”)

The following provisions will apply and govern if you access or use the Service from Vietnam:

  1. User’s Agreement

The following sentence in Section 1.1 of the Agreement

“BY CLICKING “I ACCEPT” OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.”

shall be replaced by the following language:

“BY CLICKING “I ACCEPT” YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.”

  1. AI Regulatory Compliance

The Service is subject to the Law No. 134/2025/QH15 on Artificial Intelligence ("Law on AI") and Decree No. 142/2026/ND-CP ("Decree 142"). Tencent is an AI Provider under the Law on AI. The following provisions apply in addition to, and shall prevail in case of inconsistency with, the corresponding provisions of the Agreement.

2.1 Prohibited AI Uses under Vietnamese Law

In addition to the restrictions in Section 6.4 of the Agreement and the AI Service Terms, you must not use the Service to:

(a) develop, generate, or deploy content that uses fake, simulated, or AI-synthesised elements, including deepfakes or voice/image synthesis, to deliberately and systematically deceive or manipulate the perception or behaviour of any person in a manner that causes or is likely to cause serious harm to their rights and interests, in violation of Article 7 of the Law on AI;

(b) develop or deploy an AI system that falls within any category of prohibited AI systems published by the relevant Vietnamese authority from time to time; or

(c) use the Service for any purpose that constitutes a prohibited AI application under Vietnamese law.

You acknowledge that Tencent may suspend or terminate your access to the Service immediately and without notice if Tencent reasonably determines that your use violates this provision.

2.2 AI-Generated Output — Transparency

You acknowledge and agree that Tencent applies technical measures, including content labelling and watermarking where required, to indicate that Output has been generated by an AI system, in compliance with the content transparency requirements of Decree 142. You agree not to remove, circumvent, or misrepresent any such labels, watermarks, or other technical indicators applied to Output.

Consistent with Section 6.4(i) of the Agreement, you must not misrepresent Output as having been created by a human when it was generated by the Service.

2.3 AI-Generated Output - Intellectual Property

(a) Copyright status of Output

Under the Law No. 50/2005/QH11 on Intellectual Property dated 29 November 2005 (the “IP Law”, as amended from time to time) and its implementation regulations, copyright protection for works produced using AI systems is conditional. Output will benefit from copyright protection only where you, as a human user, have made a substantial and decisive contribution to its creation, including by: providing original input data or technical parameters; setting prompts to direct the Service; evaluating, selecting, editing, intervening in, or interpreting the results; and making decisions that reflect artistic intent, aesthetics, or professional skill such that the final result reflects your ideas rather than the random or automatic arrangement of an algorithm. You must also bear responsibility for the content and lawfulness of such work. Output that is generated entirely by the Service, or that does not satisfy these conditions, may not be protected by copyright under Vietnamese law and may consequently be freely used by third parties.

(b) Code output

To the extent the Service generates software code as Output, you acknowledge that:

(i) such code may resemble or be similar to publicly available source code, and you are solely responsible for verifying whether such Output may infringe third-party copyrights or the terms of any applicable open-source or copyleft licence before using or deploying it;

(ii) under Vietnamese IP Law, the use of publicly available texts and data for AI training purposes is permissible only where the statutory conditions are satisfied, including that the use does not conflict with the normal exploitation of the relevant works and does not cause unreasonable prejudice to rights holders; and

(iii) Tencent makes no representation that all Output is free from third-party intellectual property claims or open-source licence obligations, and does not indemnify you in respect of such claims arising from your use or deployment of code Output.

You are solely responsible for assessing and managing any intellectual property risks associated with your use of Output, including verifying the source, licence, and copyright status of any code generated by the Service before use.

  1. Data and Personal Data Compliance

Processing of your personal data in connection with the Service is subject to the Law No. 91/2025/QH15 on Personal Data Protection ("Law on Personal Data Protection") and the Law No. 19/2023/QH15 on Protection of Consumer Rights dated 20 June 2023 ("Law on Consumer Protection", as amended from time to time) and their implementation regulations.

3.1 Consent to Personal Data Processing

You acknowledge that you have read and understood our Privacy Policy and hereby voluntarily give your express consent for Tencent and its authorized processors to collect, process, use, disclose, and transfer your basic and sensitive personal data for the following specified purposes:

  1. to provide the Service to you;

  2. service improvement and analytics;

  3. customer support; and

  4. compliance with legal obligations.

You have the right to withdraw consent at any time, without prejudice to the lawfulness of processing carried out prior to such withdrawal.

To exercise your rights regarding your personal data, please contact us at workbuddy_ai@tencent.com.

3.2 AI Training — Opt-In Requirement

Tencent will not use your Content to train Tencent's AI models and systems ("AI Training") unless you grant your explicit opt-in consent ("AI Training Consent"). You acknowledge that that functionality of AI Functions may be limited without your AI Training Consent. In addition, while you may revoke your AI Training Consent, and once your revocation becomes effective Tencent will cease using your Content for AI Training, however this does not invalidate or prejudice any AI Training carried out in reliance on your AI Training Consent before the revocation.

3.3 Use of Personal Data for Marketing Purposes

In addition to, and independently of, any consent you may have granted under paragraph 3.2 of this Addendum (AI Training) and the Law on Personal Data Protection generally, the following shall apply to the use of your personal information for advertising, product promotion, product recommendations, and other commercial activities:

(a) Tencent will not use your personal information for advertising or commercial promotion purposes without your affirmative, purpose-specific consent obtained through your Account settings or the Service interface;

(b) pre-ticked boxes, blanket acceptance flows, or "continue-to-use" acceptance mechanics will not constitute valid consent to the use of your personal information for advertising or commercial purposes;

(c) you may withdraw your consent to the commercial use of your personal information at any time through your Account settings, and such withdrawal will be implemented promptly and without prejudice to your continued use of the core Service; and

(d) the mechanism for withdrawing consent will be no less accessible than the mechanism by which it was granted.

3.4 Cross-Border Data Transfers

The Service is cloud-based. Your Content, including data submitted to or processed by the Service, may be transferred to, stored in, or processed in countries outside Vietnam, including Singapore and other jurisdictions in which Tencent and its affiliates operate.

Where such transfers involve Core Data or Important Data, as regulated under the Law on Data, Tencent will take such measures as are required under Vietnamese law to ensure that cross-border transfers comply with applicable requirements relating to national security, public interests, and the lawful rights of data subjects and data owners. You agree to cooperate with Tencent to facilitate such compliance, including by accurately identifying and classifying relevant data.

3.5 User Obligations Regarding Third-Party Personal Data

Where you use the Service to input, upload, or process personal data of third parties (including employees, customers, business contacts, or other individuals) ("Third-Party Personal Data"), you acknowledge that:

(a) you act as the data controller for such Third-Party Personal Data for the purposes of the Law on Personal Data Protection, and Tencent acts as a data processor on your behalf;

(b) you are solely responsible for ensuring that you have a lawful basis under the Law on Personal Data Protection for processing such Third-Party Personal Data through the Service, including, where required, obtaining explicit, informed, and purpose-specific consent from the relevant data subjects prior to submission;

(c) you must provide the relevant data subjects with appropriate privacy notices in accordance with the Law on Personal Data Protection before processing their personal data through the Service; and

(d) you will indemnify and hold Tencent harmless from any claims, penalties, or liabilities arising from your failure to comply with the Law on Personal Data Protection in respect of Third-Party Personal Data, in accordance with Section 10.4 of the Agreement.

3.6 Data Classification and Residency Controls

In compliance with the Law No. 60/2024/QH15 on Data ("Law on Data") and Decree No. 165/2025/ND-CP ("Decree 165"), you acknowledge and agree that:

(a) all digital data processed through the Service, including prompts, uploaded files, knowledge bases, data from connected external sources via MCP connectors, logs, generated outputs, and metadata, falls within the scope of the Law on Data;

(b) you are responsible for classifying data you submit to or process through the Service as Core Data, Important Data, or Other Data in accordance with the Law on Data and Decree 165, and for applying the corresponding security and handling requirements; and

(c) where your data constitutes Core Data or Important Data, additional obligations apply in relation to risk assessment, security measures, incident reporting to Vietnamese authorities, and restrictions on cross-border transfer.

3.7 Data Ownership and Rights in Content

The Law on Data recognises data ownership as a legal property right. In connection with Section 9.2 of the Agreement, Tencent's license to access, use, process, and retain your Content is granted solely to the extent necessary to operate and provide the Service (and, subject to Section 3.2 of this Addendum, for AI Training where you have provided AI Training Consent). Tencent does not claim ownership rights over your Content or result data referred to in Section 7.2 of the Agreement. More generally, the Agreement and this Addendum do not derogate from your rights as a data owner under the Law on Data.

3.8 Data Products and Services

You acknowledge that WorkBuddy's functionality, including its ability to aggregate information from multiple enterprise data sources through MCP connectors, analyse such information, and generate reports, summaries, or recommendations, may constitute a "data analysis and aggregation service" as described in the Law on Data. Tencent is assessing whether registration or other compliance obligations apply to the Service under this framework and will take such steps as are required. Tencent will notify you of any material change to the Service arising from the application of this framework.

You agree not to use the Service to provide data intermediary, analysis, aggregation, or platform services to third parties in Vietnam unless you have independently verified that your own use of the Service in that manner complies with applicable registration and operational requirements under the Law on Data and Decree 165.

  1. Cybersecurity Obligations

4.1 Activity monitoring

The Law No. 116/2025/QH15 on Cybersecurity dated 10 December 2025 (“Law on Cybersecurity”) applies to the provision of the Service to Vietnamese users. In connection with your use of the Service, you acknowledge that Tencent may be required to implement logging, monitoring, and user identification mechanisms under the Law on Cybersecurity for the purposes of ensuring traceability of actions and supporting regulatory oversight.

You agree to cooperate with Tencent's obligations under the Law on Cybersecurity and to provide accurate registration and identity information when prompted.

4.2 Data localisation

You acknowledge that the Law on Cybersecurity may, in certain circumstances, including where the Service is considered to affect national security or public order, require that data relating to Vietnamese users be stored on servers located within Vietnam and be made accessible to competent Vietnamese authorities upon request. Tencent will use commercially reasonable efforts to inform you of any data localisation measures that apply to your Account and will implement such measures to the extent required by Vietnamese law. Such data localisation requirements may affect the deployment architecture and data governance configuration available to you.

  1. Governing Law

In deviation from Section 14 of the Agreement, this Agreement shall be governed by Vietnamese law.

  1. Complaints and Dispute Resolution

6.1 Tencent’s customer service

If you have a complaint regarding the Service, please contact Tencent at workbuddy_ai@tencent.com. Tencent will acknowledge receipt of your complaint and respond within the timeframe required by applicable Vietnamese law.

6.2 Filing complaints with Vietnamese authorities

Without prejudice to any right to initiate legal proceedings, you may also refer complaints to the VCC (hotline: 1800.6838; portal: www.bvntd.gov.vn) or the relevant Department of Industry and Trade at the provincial level. You may also contact the Ministry of Public Security (Department of Cybersecurity and High-Tech Crime Prevention — A05) in respect of matters arising under the Law on Personal Data Protection.

6.3 Notwithstanding Section 14 of the Agreement, nothing in the Agreement shall limit your right to choose to refer a dispute with Tencent to the competent Vietnamese court or to arbitration.

Kingdom of Saudi Arabia

The following provisions will apply and govern if you access or use the Service from the Kingdom of Saudi Arabia ("KSA"). These provisions apply in addition to, and prevail in case of inconsistency with, the corresponding provisions of the Agreement.

  1. Application of law and regulatory framework

There is no dedicated artificial intelligence statute in the Kingdom of Saudi Arabia. AI is governed by the policies and guidelines of the Saudi Data and AI Authority ("SDAIA"), including the AI Ethics Principles and the Generative AI Guidelines, and by the Personal Data Protection Law issued by Royal Decree No. M/19 (the "PDPL") and its Implementing Regulations. These provisions do not import obligations under any foreign AI statute into the terms that apply to you.

  1. Personal data (PDPL)

(a) Processing of personal data in connection with the Service is subject to the PDPL. The parties' respective roles and obligations in respect of personal data are set out in the Privacy Policy and the Data Processing and Security Agreement, and each party is responsible for its own compliance with the PDPL in its respective role.

(b) You must ensure a lawful basis for any personal data you submit to the Service, and, where consent is the applicable basis, that such consent is explicit, freely given and documented in accordance with the PDPL.

(c) You are responsible for your own registration as a data controller on SDAIA's National Data Governance Platform and for appointing a data protection officer where required by the PDPL.

(d) Where the Service involves the transfer of personal data outside the Kingdom of Saudi Arabia, Tencent will implement appropriate safeguards required under the Regulation on Personal Data Transfer Outside the Kingdom, including standard contractual clauses or binding corporate rules approved by SDAIA where applicable. You agree to cooperate with Tencent to facilitate such compliance.

  1. Direct marketing

Consistent with Article 25 of the PDPL, you must not use the Service to send direct marketing communications to data subjects without their explicit prior consent. You are solely responsible for obtaining and evidencing such consent and for compliance with any applicable direct-marketing rules in the Kingdom of Saudi Arabia.

  1. Security incident notification

Each party will notify the other without undue delay of any personal data breach affecting data processed in connection with the Service. Tencent will, where it is the data controller for the relevant processing, notify SDAIA within the timeframe required by the PDPL (currently 72 hours of becoming aware of a breach that poses a risk to data subjects). Tencent will also notify the User without undue delay where Tencent is the processor and a breach affects User data, so the User can meet its own notification obligations as controller.

  1. AI transparency

Consistent with SDAIA's Generative AI Guidelines, Tencent will, where applicable and technically feasible, take reasonable measures to indicate that Output has been generated by an AI system. You must not remove, circumvent or misrepresent any such indication, and, consistent with Section 6.4(i), you must not misrepresent Output as having been created by a human when it was generated by the Service.

United Arab Emirates

The following provisions will apply and govern if you access or use the Service from the United Arab Emirates ("UAE"). These provisions apply in addition to, and prevail in case of inconsistency with, the corresponding provisions of the Agreement.

  1. Application of law and regulatory framework

There is no single federal artificial intelligence statute in the UAE. Use of the Service involving AI is governed by existing law, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (the "UAE PDPL") and its Implementing Regulations, the UAE Child Digital Safety Law, and, where applicable, the data protection laws of the financial free zones (including the DIFC Data Protection Law No. 5 of 2020 and the ADGM Data Protection Regulations 2021). These provisions do not import obligations under any foreign AI statute into the terms that apply to you.

  1. Personal data (UAE PDPL)

(a) Processing of personal data in connection with the Service is subject to the UAE PDPL. Where consent is required as the lawful basis, such consent must be explicit and specific, and the parties acknowledge that "legitimate interests" is not a standalone lawful basis for processing under the UAE PDPL.

(b) Where your use of the Service involves the transfer of personal data outside the UAE, each party is responsible for satisfying the cross-border transfer conditions applicable to it under the UAE PDPL, and Tencent will apply appropriate safeguards where it is the transferring party.

(c) You are responsible for complying with any data localisation requirements applicable to the personal data you submit to or process through the Service.

  1. Automated decision-making and human oversight

Where you deploy the Service to make, or materially contribute to, a decision that produces legal or similarly significant effects on an individual, you are responsible for ensuring appropriate human oversight and for providing the individual with meaningful information about the logic involved, in accordance with the UAE PDPL and, where applicable, DIFC Regulation 10 and the ADGM Data Protection Regulations 2021. The Service is not provided for the purpose of making solely automated decisions with legal or similarly significant effects, and you must implement appropriate and meaningful human oversight of any such use.

  1. Child Digital Safety Law

You must not use the Service to engage in behavioral profiling of minors, or in any processing of the personal data of minors, in a manner that would breach the UAE Child Digital Safety Law. You are solely responsible for implementing any age-verification, parental-consent or content-filtering measures required for your use of the Service.

  1. AI transparency

Tencent will, where applicable and technically feasible, take reasonable measures to indicate that Output has been generated by an AI system. You must not remove, circumvent or misrepresent any such indication, and, consistent with Section 6.4(i), you must not misrepresent Output as having been created by a human when it was generated by the Service.

  1. Non-excludable rights

Nothing in Sections 10.1, 10.2, 10.3 or 10.5 excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified under applicable law in the UAE (including, where applicable, DIFC or ADGM law). The liability cap in Section 10.3(a) does not apply to liability that cannot lawfully be limited or excluded under applicable UAE law.

Republic of Türkiye

The following provisions will apply and govern if you access or use the Service from the Republic of Türkiye. These provisions apply in addition to, and prevail in case of inconsistency with, the corresponding provisions of the Agreement.

  1. Application of law and pending legislation

There is no single artificial intelligence statute in force in the Republic of Türkiye. Use of the Service involving AI is governed by existing law, including the Law on the Protection of Personal Data No. 6698 ("KVKK") and the guidance issued by the Turkish Data Protection Authority (KVKK), and by the Turkish Criminal Code. You acknowledge that Türkiye is considering legislation on artificial intelligence (including deepfake-labelling, prohibited AI practices and service-provider obligations), and that such legislation may apply to the Service when enacted.

  1. AI-generated content labelling

Consistent with Section 6.4(i) and the applicable Turkish rules on labelling synthetic or AI-generated content, you must clearly indicate where content you publish or distribute was generated by the Service, and you must not remove, circumvent or misrepresent any labelling, watermark or other technical indicator applied by Tencent to Output. You are solely responsible for labelling deepfake or synthetic content that you deploy, where required by applicable Turkish law.

  1. Prohibited AI uses and lawful use

In addition to the restrictions in Section 6.4, you must not use the Service to deploy an AI system that engages in practices prohibited by applicable Turkish law, including techniques that manipulate human behavior or that constitute social scoring or otherwise threaten fundamental rights. You must not use the Service to direct, enable or facilitate the commission of any criminal offence, and you acknowledge that you bear sole responsibility for the lawfulness of your use of the Service. Tencent makes no representation that the Service is suitable for any use that is unlawful under Turkish law.

  1. Transparency, oversight and service-provider duties

Tencent will use reasonable efforts to apply technical and organizational measures consistent with the expectations of Turkish authorities for AI service providers, including measures to support the transparency and auditability of training data, content verification and controls to reduce the risk of inaccurate or hallucinated Output. You must maintain appropriate and meaningful human oversight where you deploy the Service in higher-risk contexts.

  1. Personal data (KVKK) and non-discriminatory datasets

Processing of personal data in connection with the Service is subject to the KVKK. Each party is responsible for its own compliance with the KVKK in its respective role. Where applicable, Tencent will take reasonable measures to ensure that datasets used in connection with the Service comply with the principles of lawfulness, non-discrimination and anonymization to the extent required by Turkish law.

  1. Future legislation

Tencent may amend this Agreement to reflect changes in Turkish law, including any artificial intelligence legislation that may be enacted, in accordance with Section 1.5 of this Agreement.

Brazil

The following provisions will apply and govern if you access or use the Service from Brazil. These provisions apply in addition to, and prevail in case of inconsistency with, the corresponding provisions of the Agreement.

  1. Applicable Law

The Service is subject to the General Data Protection Law (Lei Geral de Proteção de Dados — "LGPD", Law No. 13,709/2018), the Consumer Defence Code (Código de Defesa do Consumidor, Law No. 8,078/1990), the Internet Civil Rights Framework (Marco Civil da Internet, Law No. 12,965/2014) and its implementing Decrees No. 12,975/2026 and No. 12,976/2026, the Digital Child and Adolescent Statute (Law No. 15,211/2025), and, upon its enactment, the Brazilian Legal Framework for Artificial Intelligence (PL 2338/2023). Capitalised terms in this Brazil Addendum have the meanings given in the LGPD.

  1. Data Protection — Roles and Lawful Basis

2.1 Where you use the Service to process personal data of individuals located in Brazil, you act as controller and Tencent acts as processor in respect of that processing, unless the parties' roles are otherwise allocated under the Data Processing and Security Agreement or the MSA.

2.2 You are solely responsible for establishing a lawful basis under Art. 7 (or, for sensitive personal data, Art. 11) of the LGPD for your processing of personal data through the Service, and for providing data subjects with the notices required under the LGPD before processing.

2.3 You will not use the Service to process personal data of children or adolescents except in compliance with Law No. 15,211/2025 and the LGPD, including obtaining verifiable parental consent where required.

  1. Automated Decisions (Art. 20, LGPD)

The Service may generate Output that you could use to make decisions based solely on automated processing of personal data affecting individuals' interests (including decisions concerning credit, employment, consumption or profiling). Where you do so, you acknowledge that the affected data subject has the right, under Art. 20 of the LGPD, to request a review of that decision and to receive clear and adequate information about the criteria and procedures used. You are solely responsible for implementing a review mechanism and for providing such information, subject to the limitations on disclosure of trade secrets set out in the LGPD. Tencent will reasonably cooperate with you to facilitate that review, including by making available technical information about the Service relevant to the decision.

  1. Consumer Protection — Non-Excludable Rights

Nothing in this Agreement (including Sections 10.1, 10.2, 10.3 and 10.5) excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified under the Consumer Defence Code (Law No. 8,078/1990), the Civil Code, or any other applicable Brazilian law. Without limiting the foregoing, the disclaimers in Sections 10.1 and 10.2 and the liability cap in Section 10.3(a) do not apply to liability that cannot lawfully be excluded or limited under Brazilian law, including strict liability for defective service under the Consumer Defence Code.

  1. Illegal and Harmful Content — Moderation and Duty of Care

5.1 Consistent with the Marco Civil da Internet and Decrees No. 12,975/2026 and No. 12,976/2026, Tencent maintains a permanent channel (workbuddy_ai@tencent.com) through which you and third parties may report unlawful or criminal content, and Tencent will address notifications in accordance with applicable Brazilian law, including any applicable deadlines.

5.2 You must not use the Service to generate non-consensual intimate or sexualised synthetic content (including deepfakes) or any content that constitutes gender-based digital violence. Tencent implements technical measures designed to block the generation of such content and may suspend or terminate your access to the Service immediately if Tencent reasonably determines that you have attempted to generate such content.

5.3 You must not use the Service to generate or disseminate content that constitutes a serious crime under Brazilian law (including terrorism, incitement to suicide or self-harm, hate crimes, crimes against children and adolescents, or anti-democratic acts).

  1. Intellectual Property and Code Output

Copyright in works is governed by Law No. 9,610/1998. To the extent the Service generates software code as Output, you acknowledge that:

(a) such code may resemble or be similar to publicly available source code, and you are solely responsible for verifying whether such Output may infringe third-party copyright or the terms of any applicable open-source or copyleft licence before using or deploying it;

(b) there is no clearly established exception under Brazilian law permitting the use of copyright-protected works for AI training without authorisation; and

(c) Tencent makes no representation that all Output is free from third-party intellectual property claims or open-source licence obligations, and does not indemnify you in respect of such claims arising from your use or deployment of code Output.

  1. Local Representation

Where required under Brazilian law (including Decree No. 12,975/2026), Tencent will maintain a legal representative in Brazil authorised to respond to administrative and judicial proceedings, to comply with orders of Brazilian authorities, and to receive service of process on Tencent's behalf.

  1. Future AI Legislation

The parties acknowledge that the Brazilian Legal Framework for Artificial Intelligence (PL 2338/2023) is pending enactment and is expected to impose obligations concerning risk classification, prohibited AI practices, impact assessment, transparency, human oversight, and the rights of affected individuals. You agree to cooperate with Tencent in good faith to comply with any obligations that become applicable upon enactment. Tencent reserves the right to amend this Addendum and the Service Rules to reflect such new obligations, and will notify you of any material change in accordance with Section 1.5 of the Agreement. You must not use the Service for any application that is, or becomes, prohibited under Brazilian law.
